CLIENT TERMS OF SERVICE
The terms and conditions set forth below are integral to the provision of services by Prashant Pinge ("LemonEd") to any customer or client ("Client"). LemonEd provides services in MBA admissions consulting, career coaching, professional development, and related services, each governed by the applicable terms and conditions below.
When you purchase services from LemonEd, you agree to the terms and conditions of this Agreement ("Agreement").
1. Services
(a) MBA Admissions Consulting
i) Description
LemonEd will provide the Client with MBA admissions advisory services, strategic guidance, and related support, as outlined on the relevant pages of the LemonEd website (www.lemoned.com).
iii) Term
This Agreement shall remain valid until final decisions have been received from all programs supported under the agreed scope of services and the Client has made a final enrollment decision, or until the agreed scope of services has otherwise been completed.
The services covered under this Agreement apply only to the specific intake cycle for which the Client has enrolled.
iv) Fees
(1) Fees are charged directly to the Client and must be paid in full prior to commencement of services, as per the selected package.
(2) Any such compensation does not alter the Client’s responsibility to independently assess institutions, offers, or services, nor does it create any obligation or guarantee regarding outcomes.
v) Obligations
LemonEd will:
(1) Provide advisory guidance, strategy, and feedback relevant to the selected service
(2) Offer reasonable response timelines (typically within 48 hours, unless otherwise stated)
(3) Act in good faith and maintain professional standards
(4) Clearly communicate the scope and limitations of each service
LemonEd will NOT:
(1) Write, draft, or author essays, statements, or recommendation letters
(2) Submit applications or documents on behalf of the Client
(3) Represent the Client before universities, institutions, or authorities
(4) Guarantee admission, scholarships, visas, or outcomes
(5) Influence or control decisions made by third parties
vi) Client Obligations
The Client agrees to:
(1) Provide complete, accurate, and truthful information
(2) Adhere to agreed schedules and timelines
(3) Independently verify deadlines, eligibility criteria, and institutional requirements
(4) Prepare and submit all application materials including authentic documents
(5) Ensure originality and compliance with academic integrity standards
(6) Take full responsibility for final submissions and decisions
vii) Third-Party Services Disclaimer
LemonEd does not design, deliver, supervise, or control services provided by independent third parties.
Where appropriate, LemonEd may refer or introduce Clients to third-party providers including, but not limited to:
(1) Test preparation services
(2) Financial products or education financing services
(3) Independent editing, assessment, or technology services
(4) Other professional service providers
The Client expressly acknowledges and agrees that:
(1) Selection of any third-party provider is entirely at the Client’s discretion
(2) LemonEd does not guarantee outcomes arising from third-party services
(3) Any engagement, agreement, or payment made to such providers is strictly between the Client and the third party
(4) LemonEd bears no responsibility or liability for the quality, conduct, accuracy, or results of any third-party services
(5) LemonEd may receive compensation from third-party providers in connection with referrals or introductions, without creating any obligation, endorsement, or guarantee
viii) No Warranty
LEMONED’S SERVICES ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WITHOUT LIMITING THE FOREGOING, LEMONED MAKES NO REPRESENTATION OR WARRANTY THAT:
(1) THE CLIENT WILL OBTAIN ADMISSION TO ANY PROGRAM
(2) ANY PARTICULAR OUTCOME, OFFER, VISA, OR RESULT WILL BE ACHIEVED
All admissions and related decisions rest solely with the relevant institutions or authorities.
ix) Indemnification
The Client agrees that LemonEd shall not be liable for unsuccessful outcomes or third-party decisions. The Client further agrees to indemnify, defend, and hold LemonEd harmless from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:
(1) inaccurate or misleading information provided by the Client
(2) misuse or misunderstanding of advice
(3) engagement with third-party providers
(4) violations of institutional rules or application requirements
(b) Career Coaching
i) Description
LemonEd will provide the Client with advice, strategy, and assistance in career coaching as described on the Process page of Career Coaching on the LemonEd website (www.lemoned.com/career-coaching-process).
ii) Term
This Agreement will be valid for the duration of the coaching package selected by the Client. Packages may include a single session or multiple sessions, depending on the Client’s choice.
iii) Fees
The Client will pay the full coaching fees to LemonEd prior to the commencement of the career coaching services, as per the package selected.
iv) Obligations
LemonEd will:
(1) Provide career coaching services tailored to the Client’s career goals and aspirations.
(2) Offer timely guidance and feedback, typically within 48 hours.
LemonEd will NOT:
(1) Write, draft, or compose resumes, cover letters, or any other materials on behalf of the Client.
(2) Work or interact with anyone other than the Client.
(3) Submit any information, application, or material on behalf of the Client.
(4) Guarantee job placement or any specific career outcome.
The Client will:
(1) Adhere to the agreed schedule, including coaching appointments.
(2) Provide accurate and authentic information relevant to their career goals.
(3) Verify deadlines and requirements associated with their career objectives.
(4) Draft, complete, and submit all personal materials (resumes, cover letters, applications, etc.) themselves.
(5) Ensure that no content used in pursuit of career goals is plagiarized.
(6) Actively execute tasks recommended during coaching, including upskilling, applying for roles, and attending interviews.
v) No Warranty
LEMONED'S SERVICES ARE PROVIDED ON AN “AS IS” BASIS WITHOUT REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND. LEMONED EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, LEMONED MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO (A) GUARANTEED SUCCESS IN ACHIEVING CAREER OBJECTIVES OR (B) OBTAINING EMPLOYMENT.
vi) Indemnification
THE CLIENT AGREES THAT LEMONED SHALL NOT BE LIABLE FOR FAILURE TO ACHIEVE CAREER OBJECTIVES OR ANY OUTCOME OF THE JOB SEARCH. THE CLIENT FURTHER AGREES TO INDEMNIFY, DEFEND, AND HOLD LEMONED HARMLESS FROM AND AGAINST ANY LIABILITIES, CLAIMS, DAMAGES, COSTS, OR EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING FROM:
(1) Inaccurate or misleading information provided by the Client
(2) Misuse or misunderstanding of advice or guidance
(3) Engagement with third-party service providers
(4) Violations of institutional rules, employer requirements, or application procedures
(c) Professional Development Programs, Workshops, Webinars, and Learning Products
i) Description
LemonEd will provide the Client with access to professional development programs, workshops, webinars, seminars, digital learning products, and related services as described on the relevant pages of the LemonEd website (www.lemoned.com).
ii) Term
This Agreement shall remain valid for the duration, schedule, access period, or delivery timeline associated with the specific program, workshop, webinar, seminar, or product selected by the Client.
iii) Fees
The Client shall pay the applicable fees in full prior to commencement of the selected program, workshop, webinar, seminar, or before receiving access to any digital learning products.
iv) Obligations
LemonEd will:
(1) Deliver the selected program, workshop, webinar, seminar, or learning product substantially as described at the time of purchase.
(2) Provide learning content, frameworks, guidance, tools, and resources relevant to the selected offering.
(3) Make reasonable efforts to conduct sessions according to the published schedule and format.
LemonEd will NOT:
(1) Guarantee career advancement, salary increases, promotions, employment outcomes, admissions outcomes, or any specific professional result.
(2) Provide services beyond the scope of the selected offering.
(3) Complete assignments, exercises, applications, resumes, or other materials on behalf of the Client.
(4) Be responsible for technical limitations, internet connectivity issues, or device-related problems experienced by the Client.
The Client will:
(1) Attend and participate actively in the selected program or offering.
(2) Ensure access to the technology, internet connection, software, and devices required for participation.
(3) Use all educational materials, resources, recordings, and content solely for personal use.
(4) Not distribute, reproduce, share, record, resell, or commercially exploit any content, resources, recordings, or materials provided by LemonEd without explicit written permission.
(5) Accept responsibility for implementing lessons, frameworks, tools, and recommendations independently.
v) No Warranty
LEMONED'S SERVICES ARE PROVIDED ON AN “AS IS” BASIS WITHOUT REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND. LEMONED EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, LEMONED MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO ANY SPECIFIC PROFESSIONAL, CAREER, OR PERSONAL DEVELOPMENT OUTCOME.
vi) Indemnification
THE CLIENT AGREES THAT LEMONED SHALL NOT BE LIABLE FOR FAILURE TO ACHIEVE ANY EDUCATIONAL, PROFESSIONAL, OR CAREER OBJECTIVES. THE CLIENT FURTHER AGREES TO INDEMNIFY, DEFEND, AND HOLD LEMONED HARMLESS FROM AND AGAINST ANY LIABILITIES, CLAIMS, DAMAGES, COSTS, OR EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING FROM:
(1) Misuse or misunderstanding of content, tools, frameworks, or guidance
(2) Unauthorized distribution, sharing, or commercial use of content or materials
(3) Technical issues beyond LemonEd’s reasonable control
(4) Failure to implement recommendations, complete exercises, or participate meaningfully in the selected offering
2. Limitation Of Liability
THE CLIENT AGREES THAT LEMONED SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS, DAMAGE, LIABILITY OR EXPENSE INCURRED OR SUFFERED THAT IS CLAIMED TO HAVE RESULTED FROM THE USE OR INABILITY TO USE ANY OF THE SERVICES OFFERED BY LEMONED EVEN IF LEMONED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH DAMAGES ARE REASONABLY FORESEEABLE. LEMONED'S TOTAL AGGREGATE LIABILITY FOR ANY OR ALL DISPUTES ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED RS. 5000/-.
3. Refund
LemonEd will not issue refunds under any circumstances.
4. Confidentiality
LemonEd agrees to keep all Client information confidential during the term of the Agreement and after its termination unless it is required by the law to disclose the information. This clause does not extend to Client information that is available in the public domain or can be easily found out.
5. Non-Disparagement
The Client agrees that they will not make any statement in any media during the term of the Agreement and after its termination that would directly or indirectly materially damage or impair the reputation and/or goodwill of LemonEd.
6. General Provisions
(a) This Agreement comprises the entire agreement between the Client and LemonEd and supersedes any prior agreements pertaining to the subject matter contained herein.
(b) If any provision of this Agreement is held by a court of competent jurisdiction or other authority to be invalid, void or unenforceable, the remainder of the terms, provisions, covenants and restrictions of this Agreement shall remain in full force and effect and shall in no way be affected, impaired or invalidated.
(c) The headings of sections and paragraphs herein are included solely for convenience of reference and shall not control the meaning or interpretation of any of the provisions of this Agreement.
(d) The rights and obligations of the Client hereunder are not assignable without the prior written consent of LemonEd.
(e) LemonEd will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, boycott, or any other circumstance or cause beyond the reasonable control of LemonEd.
(f) This agreement will be governed, construed, and enforced in accordance with the laws of India without regard to its conflict of laws rules. Neither the Client nor LemonEd will commence or prosecute any suit, proceeding or claim to enforce the provisions of these Terms Of Use, to recover damages for breach of or default of these Terms Of Use, or otherwise arising under or by reason of these Terms Of Use, other than in courts located in Mumbai, Maharashtra, India. By using LemonEd's Services, the Client consents to the jurisdiction and venue of such courts in connection with any action, suit, proceeding or claim arising under or by reason of this Agreement. The Client hereby waives any right to trial by jury arising out of this Agreement and any related documents.
